Appendix A: Mutual Non-Disclosure Agreement (NDA)
This Mutual Non-Disclosure Agreement ("Agreement") is entered into by and between HDMworks, LLC ("Company") and the receiving party ("Client") as of the Effective Date. Company and Client may be referred to individually as a "Party" and collectively as the "Parties."
1. Purpose
The Parties wish to explore or engage in a business relationship involving engineering design, prototyping, cabling, potting, and manufacturing services (the "Purpose"), and may disclose certain Confidential Information in furtherance of that Purpose.
2. Definition of Confidential Information
"Confidential Information" means all non-public, proprietary, or sensitive information disclosed by either Party ("Disclosing Party") to the other Party ("Receiving Party"), whether orally, visually, electronically, or in writing, including but not limited to:
Technical data, CAD files, drawings, schematics, specifications, software, and designs
Prototypes, processes, methods, and manufacturing know-how
Business information, pricing, proposals, and customer data
Any analyses, notes, summaries, or derivatives prepared by the Receiving Party
Confidential Information disclosed orally shall be considered confidential if designated as such at the time of disclosure and confirmed in writing within a reasonable period.
3. Obligations of Receiving Party
The Receiving Party agrees to:
Use Confidential Information solely for the Purpose
Protect Confidential Information with at least the same degree of care used to protect its own confidential information, but no less than commercially reasonable care
Not disclose Confidential Information to any third party except to employees, contractors, or agents with a need to know for the Purpose, and who are bound by confidentiality obligations no less restrictive than this Agreement
Not reverse engineer, disassemble, or otherwise derive underlying information except as permitted for the Purpose
4. Exclusions from Confidential Information
Confidential Information does not include information that the Receiving Party can demonstrate:
Is or becomes publicly available without breach of this Agreement
Was lawfully known prior to disclosure
Is independently developed without use of the Confidential Information
Is lawfully obtained from a third party without restriction
5. Permitted Disclosure
The Receiving Party may disclose Confidential Information if required by law, regulation, or court order, provided that the Receiving Party gives prompt written notice (where legally permitted) to allow the Disclosing Party to seek protective measures.
6. Sharing with Manufacturing Partners
Company may disclose Confidential Information to vetted third-party manufacturing partners solely for the Purpose. Such partners shall be bound by confidentiality obligations at least as protective as those set forth herein. Company shall use commercially reasonable efforts to ensure partner compliance.
7. Intellectual Property Rights
All Confidential Information remains the property of the Disclosing Party. No license or ownership rights are granted except as necessary to fulfill the Purpose. All intellectual property developed independently by either Party remains its property unless otherwise agreed in writing.
8. Non-Circumvention
Client agrees that, for the term of this Agreement and for a period of 3 years thereafter, it will not directly or indirectly engage, solicit, or conduct business with Company’s manufacturing partners introduced through this relationship without Company’s prior written consent.
9. Export Control Compliance
Client acknowledges that certain technical data may be subject to export control laws (including ITAR or EAR) and agrees to comply with all applicable laws and regulations regarding use, transfer, or export of such information.
10. Term and Survival
This Agreement shall remain in effect for 3 years, unless earlier terminated by either Party upon written notice. Confidentiality obligations shall survive termination for a period of 10 years, or indefinitely with respect to trade secrets.
11. Return or Destruction
Upon written request, the Receiving Party shall promptly return or destroy all Confidential Information, except that one archival copy may be retained solely for compliance purposes.
12. Remedies
The Parties acknowledge that unauthorized disclosure may cause irreparable harm for which monetary damages may be insufficient. The Disclosing Party shall be entitled to seek injunctive or equitable relief, in addition to any other remedies available at law.
13. Limitation of Liability
Nothing in this Agreement limits liability for breach of confidentiality obligations or misuse of Confidential Information.
14. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas without regard to conflict of law principles.
15. Entire Agreement
This Agreement constitutes the entire agreement between the Parties regarding confidentiality and supersedes all prior agreements or understandings.
16. Amendments
This Agreement may only be amended by a written document signed by both Parties.
17. Assignment
Neither Party may assign this Agreement without the prior written consent of the other Party, except in connection with a merger or sale of substantially all assets.
Our services include engineering design, prototyping, custom cabling and harnessing, component potting, and manufacturing support, including coordination with third-party partners when necessary.
